Terms of Service

These Terms of Service ("Terms") govern your access to and use of the AmbarDigitalHub platform operated by Ambar Systems Inc. ("Company", "we", "us"). By creating an account, making a purchase, enrolling in a course, or otherwise using the platform, you agree to these Terms.

• You must provide accurate, complete, and current information during registration.
• You are responsible for maintaining the confidentiality of your login credentials.
• You must be at least 16 years of age to create an account.
• One person or legal entity may not maintain more than one free account.
• You are responsible for all activity under your account, whether or not authorized by you.

3. Tenant Responsibilities

Tenant Administrators are additionally responsible for:

• Managing user roles, permissions, and access within their tenant workspace.
• Ensuring that content published within their tenant complies with applicable laws and these Terms.
• Configuring payment provider credentials (Stripe, PayPal) for their tenant transactions.
• Managing their own data retention and privacy compliance within their tenant.
• Ensuring LTI 1.3 tool integrations are configured with trusted providers only.

4. Purchases & Payments

4.1 Pricing

All prices displayed on the platform are in the currency configured by the Tenant. Prices include or exclude taxes as specified at checkout.

4.2 Payment Processing

Payments are processed by third-party providers (Stripe, PayPal, or other configured providers). By making a purchase, you agree to the payment provider's terms of service. We do not store credit card numbers on our servers.

4.3 Subscriptions

Some Offerings may be offered on a subscription basis. Subscriptions auto-renew unless canceled before the renewal date. You may cancel a subscription at any time through your account settings.

4.4 Refunds

Refund policies are set by each Tenant. Unless otherwise stated by the Tenant, the following default policy applies:

• Digital products and services are non-refundable once delivered or accessed.
• Course enrollments may be refunded within 14 days of purchase if less than 20% of the course content has been accessed.
• Certification examination fees are non-refundable once an attempt has been made.

5. Course Enrollment & Certifications

• Enrollment in a course grants you a personal, non-transferable right to access the course content for the duration specified.
• Certifications are issued upon successful completion of all required assessments and are subject to the certification program's validity period.
• We reserve the right to revoke certifications obtained through fraud, cheating, or violation of exam policies.
• Course content may be updated or retired; we will provide reasonable notice before removing access to active enrollments.

6. Intellectual Property

6.1 Platform IP

The platform software, design, trademarks, and documentation are the intellectual property of Ambar Systems Inc. You may not copy, modify, distribute, or reverse-engineer any part of the platform.

6.2 Tenant Content

Tenants retain ownership of content they publish on the platform. By publishing content, Tenants grant us a limited license to host, display, and distribute that content to authorized users within the platform.

6.3 User-Generated Content

Users retain ownership of content they create (e.g., forum posts, assignment submissions). By submitting content, you grant us a non-exclusive license to display it within the platform context.

8. AI-Powered Features

The platform includes AI-powered features via AIAgentStudio. By using these features, you acknowledge:

• AI-generated content is provided "as-is" and may contain inaccuracies. You are responsible for reviewing and verifying any AI-generated output.
• We may process your inputs to AI features to generate responses, but we do not use your content to train models without your explicit consent.
• AI features are subject to fair-use limits as defined in your subscription plan.

9. Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted access. Scheduled maintenance windows will be communicated in advance. We are not liable for downtime caused by force majeure, third-party service failures, or circumstances beyond our reasonable control.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AMBAR SYSTEMS INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

You agree to indemnify and hold harmless Ambar Systems Inc., its officers, directors, employees, and agents from any claims, damages, or expenses arising from (a) your use of the platform, (b) your violation of these Terms, or (c) your violation of any third-party rights.

12. Termination

• You may close your account at any time by contacting support or using account settings.
• We may suspend or terminate your account for violation of these Terms with reasonable notice.
• Tenant subscriptions are governed by the applicable service agreement between the Tenant and Ambar Systems Inc.
• Upon termination, your right to access the platform ceases. Data export is available for 30 days following termination.

13. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of [YOUR JURISDICTION]. Any disputes arising from these Terms shall be resolved through binding arbitration in [YOUR CITY, STATE/COUNTRY], except where prohibited by law.
